Serious Owl Business project is a collection of 10,000 digital artworks (NFTs) running on the Ethereum blockchain. This website only serves as an interface allowing users to exchange their digital collectibles. This Serious Owl Business Terms & Conditions constitute a legally binding agreement (this “Agreement”) between you (“You”, “Yours”) and the creators (“We”, “Our” or “Us”) enforceable by law. By using this website, purchasing any Serious Owl Business NFT, using or displaying any Serious Owl Business NFT, or participating in any events in relation to Serious Owl Business, You acknowledge, accept, and agree to this Agreement and accept all of its terms and conditions. Please read these terms and conditions carefully and with all due care.

1. Definitions

“Serious Owl Business NFT” means a unique cryptographic token in relation to Serious Owl Business project that exists on the Ethereum blockchain. “Serious Owl Business NFT Art” means any art, graphics, images, designs, logos, taglines, drawings, and all other form of visual materials that may be associated with Your Serious Owl Business NFT in which You acquire Licensed Rights. “Licensed Rights” with respect to an NFT means the rights granted to You associated to a Serious Owl Business NFT of which You are the current legal licensee and which You acquired from a legitimate source, where proof of purchase is recorded and can be tracked on the Ethereum blockchain.

2. Our Ownership

You acknowledge, accept and agree that, as between You and Us, the title and intellectual property involved in the Serious Owl Business project is solely and exclusively owned by Us and is protected by applicable law, including international copyright and trademark laws, and other proprietary rights and laws. We reserve all the rights and ownerships that are not expressly granted to the users and owners of Serious Owl Business NFTs listed in this Agreement. This includes, but is not limited to, the intellectual property rights of “Serious Owl Business” and “SOB” names, trademarks, logo, domain name, art layered files, traits, designs, illustrations, videos, website, look and feel, smart contract code, or anything else not expressly stated in Section 3 of this Agreement.

3. Your Licensed Rights

(a) Personal Use

Subject to Your continued compliance with the terms in this Agreement, We grant You a non-exclusive royalty-free license to use, copy, and display the Serious Owl Business NFT Art that You purchased, along with any extension You intend to make and use. This usage is granted world-wide. This, however, is limited solely for the purposes below:

personal and non-commercial use;
display and / or showcase the Serious Owl Business NFT on external websites;
right to purchase, sell and / or trade, provided that You are the current rightful owner of the Serious Owl Business NFT which You own and the marketplace can verify Your ownership cryptographically; and
right to take part in any events, applications or third part websites that permits the involvement or participation of Serious Owl Business NFT which You own and Your Serious Owl Business NFT ownership can be verified cryptographically.

(b) Commercial Use

Subject to Your continued compliance with the terms in this Agreement, We grant You a non-exclusive royalty-free license to use, copy, and display the Serious Owl Business NFT Art that You purchased for the purpose of creating derivative works based upon the image. For example, you may commercialise your own merchandise that display copies of that image associated with your purchased Serious Owl Business NFT.

4. Restrictions of Use

You agree and accept that, without Our prior written consent, You shall not use Serious Owl Business NFT and its associated Licensed Rights in any way, or in connection with any material, which is unlawful, fraudulent, libellous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive or otherwise objectionable or unreasonable or infringing upon any laws or regulations or intellectual property rights or proprietary rights or confidentiality obligations. In addition to the aforementioned, You shall not attempt to trademark, copyright, or otherwise acquire additional intellectual property rights in or to the Serious Owl Business NFT and the project.

5. Termination of Licensed Rights

Your Licensed Rights shall automatically and immediately be terminated in its entirety and all associated rights shall return to Us upon the effective date of such termination, in the event of:

You file a petition in bankruptcy or be adjudged bankrupt or make an assignment for the benefit of creditors, or Your assets be placed in the hands of a trustee or receiver, or becomes insolvent in any manner;
You engage in any unlawful business practice or transaction related to Your Serious Owl Business NFT;
You conduct breach or violate any of the terms and conditions in this Agreement; or
You disparage, deceive, or initiate any legal action against Us, Our affiliates, their respective officers, directors, members, principals, agents, attorney, employees or any parties related to Serious Owl Business project in any manner.

6. Breach and Indemnification

You agree that You are solely responsible for any liability arises from Your breach of the terms and conditions in this Agreement, which will be deemed to include, without limited to any such breach or use by any person acting either on Your behalf, with Your permission, or under Your control. You agree to defend, indemnify, and hold Us, Our affiliates, their respective officers, directors, members, principals, agents, attorney, employees or any parties related to Serious Owl Business project harmless from any and all suits, claims, demands, actions, damages, losses, costs, liabilities and expenses that arise from or relate to transaction or possession of a Serious Owl Business NFT, or its associated Licensed Right, or usage of Our website.

7. Disclaimer of Warranties & Limitation of Liability

You acknowledge and agree that Serious Owl Business NFTs are intangible digital assets, which exists by the virtue of the electronic record on Ethereum blockchain representing the assets ownership. Serious Owl Business NFTs are not meant as legal tender or investment vehicles. All smart contracts are contained within the metadata of the Serious Owl Business NFTs and all transfers or assignments of Serious Owl Business NFTs are digitally conducted on a decentralized ledger within the Ethereum blockchain. All Serious Owl Business NFT and the Serious Owl Business NFT Art are provided “as is” and “as available” basis, without warranties or conditions of any kind, either express or implied. In no event and under no theory of liability, including contract, statute, tort, negligence, strict liability, warranty, or otherwise, will Us be liable to You for any indirect, consequential, exemplary, incidental, special, or punitive damages, or lost profits arising from or relating to this Agreement, the Serious Owl Business NFT, the Serious Owl Business NFT Art, or Your Licensed Right, or any materials related to the Serious Owl Business project even if the We have been advised of the possibility of Your damages in advance. To the fullest extent permissible by applicable law, the limitation in this section will apply notwithstanding any remedy set forth in this Agreement fails its essential purpose.

8. Assumption of Risk

You understand that Serious Owl Business NFTs are made available solely for collection purposes. By purchasing, owning or possessing a Serious Owl Business NFT, You understand and agree that You assume the following risks:

the non-fungible token markets and prices are extremely volatile, and variations in the price of other digital assets could materially and adversely affect the fair value of any digital assets You own, including Your Serious Owl Business NFT, and We make absolute no guarantees or promises that Your Serious Owl Business NFTs will have or retain any value;
there are risks associated with using any internet-native assets (e.g., non-fungible tokens, cryptocurrencies, etc.) including but not limited to the risk of hardware, software and Internet connections and/or failures, and the risk of malicious software introduction;
the risk of mining attack, cyberattacks, and any other technological difficulties;
the risk of changes to any regulatory regime governing blockchain technologies, cryptocurrencies, and tokens and any regulatory intervention in the related jurisdictions which may affect the use and value of Your Serious Owl Business NFTs;

In addition to assuming all the risks aforementioned, You also acknowledge and agree that You are solely responsible for assessing the nature, potential value, and suitability of these risks.

9. Governing Law

Any matters arising from or related to it or any Serious Owl Business project will be governed by the laws of Singapore, without regard to its conflict of laws rules. In the event of disputes, it may be brought solely in the federal or state courts located in Singapore and You consent to personal jurisdiction and venue in these courts.

10. Taxes

You are solely responsible for all taxes and charges, reporting and remitting the correct tax to the appropriate tax authority, if any, in connection to Your collection, use or possession of a Serious Owl Business NFT.

11. Age Requirement

The Serious Owl Business project is not intended for children. You affirm that You are over the age of 18, or above the legal age of Your jurisdiction, whichever is greater.

12. Subjectivity to Change

We may revise the terms and conditions in this Agreement at any time, without notice. The latest version of the Agreement will always be available on this website. It is Your responsibility to timely review and follows Our current Agreement and latest modifications on the terms and conditions. We will include an announcement for revisions which are deemed material via Our Twitter or Discord link. Any changes to this Agreement will take effect from the date that they are made. By continuing to access Our website or hold a Serious Owl Business NFT after this Agreement has been updated, You are bound to the current terms and conditions and You indicate Your binding acceptance of the updates.
